1. Acceptance of Terms
By accessing sifisoft.com or engaging SifiSoft for any service, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use this website or our services. These terms apply to all visitors, clients, and anyone who accesses or uses our services.
2. Services Offered
SifiSoft provides professional software and design services to startups and growing businesses, including:
- Web Development: Responsive business websites, landing pages, e-commerce platforms, and custom web applications.
- Mobile App Development: iOS and Android applications built with React Native or Flutter, from MVPs to advanced cross-platform apps.
- API Development: REST and GraphQL APIs, backend integrations, and microservices architecture.
- Logo & Brand Design: Custom logo creation and complete brand identity packages.
- UI/UX Design: Wireframes, high-fidelity mockups, and interactive prototypes for web and mobile.
- Maintenance & Support: Ongoing website and app maintenance, security updates, and performance monitoring.
- Startup Packages: Bundled service offerings designed for early-stage businesses.
The specific scope, deliverables, timelines, and pricing for each engagement will be confirmed in a written proposal or service agreement prior to work commencing.
3. Pricing & Quotes
All prices displayed on this website are in South African Rands (ZAR) and serve as a guide. Final pricing is confirmed in a written proposal or invoice. The following conditions apply:
- Quoted prices are valid for 30 days from the date of issue.
- Prices are subject to change based on final project scope and requirements.
- VAT will be added where applicable, subject to SifiSoft's registration status.
- Domain registration, hosting fees, third-party service costs (e.g. payment gateways, app store fees, cloud infrastructure) are not included in quoted prices unless explicitly stated.
- Discounts (e.g. startup, student, non-profit, bundle) are applied at SifiSoft's discretion upon verification. Contact us to confirm eligibility before project commencement.
4. Payment Terms
Payment schedules are as follows, unless otherwise agreed in writing:
- Projects under R30,000: 50% deposit required before work commences; 50% due upon project completion.
- Projects R30,000–R100,000: 40% deposit; 30% at an agreed midpoint milestone; 30% upon completion.
- Projects over R100,000: 30% deposit; 40% at midpoint; 30% upon completion.
- Instalment plans: Available for projects under R20,000. Payment may be split into 3 monthly instalments subject to an 8% processing fee.
- Pre-payment discount: A 7% discount applies if full payment is made upfront.
Project timelines begin only after the deposit has been received and all required materials (content, branding, credentials, etc.) have been provided by the client. Late or withheld payment may result in work being paused until outstanding amounts are settled.
5. Intellectual Property & Ownership
Upon receipt of full and final payment, the client receives full ownership of all custom deliverables produced specifically for their project, including but not limited to custom code, design files, and brand assets.
- SifiSoft retains ownership of any proprietary frameworks, tools, libraries, or reusable components developed independently and incorporated into client projects under a non-exclusive licence.
- SifiSoft retains the right to reference the project in its portfolio unless the client requests confidentiality in writing.
- All content (text, images, data) provided by the client remains the intellectual property of the client.
- Third-party assets (fonts, stock imagery, plugins, etc.) are subject to their respective licence agreements. Clients are responsible for obtaining and maintaining the appropriate licences for any third-party assets they request.
6. Client Infrastructure Ownership
To ensure clients retain full control of their digital assets, the following applies:
- Domain names must be registered in the client's own name or business name.
- Hosting and cloud accounts (e.g. AWS, Vercel, DigitalOcean) must be created in the client's name. SifiSoft will be granted access as required during the engagement.
- All infrastructure costs (domain, hosting, cloud services, app store fees) are the client's direct responsibility and are paid to the respective providers by the client.
- Upon project completion, SifiSoft will provide full documentation and transfer any access credentials held on the client's behalf.
- SifiSoft is not liable for service outages, data loss, or billing issues arising from third-party infrastructure providers.
7. Project Scope & Changes
The agreed project scope is defined in the written proposal or service agreement. The following applies to changes and additions:
- Requests for features or work outside the agreed scope will be treated as change requests and quoted separately.
- Revision rounds are limited to the number specified in the agreed package. Additional revision rounds will be billed at our standard hourly rate.
- Material changes to project scope or direction may require a revised timeline and updated quote.
- All change requests must be confirmed in writing (email is acceptable) before work on the changes begins.
8. Cancellation & Refunds
- Deposits are non-refundable once work has commenced, as they cover initial planning, research, and resource allocation.
- If SifiSoft is unable to complete the project due to circumstances on our end, a fair refund will be issued for any work not yet performed.
- If the client cancels after work has commenced, payment is due for all work completed up to the date of cancellation, calculated at our standard rates.
- Cancellations must be submitted in writing to info@sifisoft.com.
9. Client Responsibilities
To ensure timely delivery, clients agree to:
- Provide accurate, complete, and timely information, materials, and feedback as required.
- Review and approve deliverables within reasonable timeframes. Delays caused by the client may affect the agreed timeline.
- Not engage in any activity that disrupts or interferes with SifiSoft's services or systems.
- Comply with all applicable laws and regulations in relation to their business and use of the deliverables.
- Not transmit any unlawful, defamatory, or infringing content to be incorporated into their project.
10. Disclaimer of Warranties
SifiSoft's website and its contents are provided on an "as is" basis. We make no warranties, expressed or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any information on this site. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
11. Limitation of Liability
To the fullest extent permitted by applicable law, SifiSoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising out of or in connection with these Terms or the use of our services, even if we have been advised of the possibility of such damages. SifiSoft's total liability to any client shall not exceed the total fees paid by that client for the specific project giving rise to the claim.
12. Website Use Licence
Permission is granted to temporarily access and view the materials on sifisoft.com for personal, non-commercial use only. You may not:
- Reproduce, copy, or redistribute the website's content without written permission
- Use the materials for commercial purposes without a written agreement
- Attempt to reverse engineer any software on the website
- Remove any copyright or proprietary notices from the materials
13. Third-Party Links
This website may contain links to third-party websites. These links are provided for convenience only. SifiSoft has no control over the content of those sites and accepts no responsibility for them or for any loss or damage arising from your use of them.
14. Modifications to Terms
SifiSoft may revise these Terms of Service at any time. Changes will be effective immediately upon posting to this page with an updated date. Continued use of the website or our services after changes are posted constitutes acceptance of the revised terms. For active client engagements, any material changes to terms will be communicated directly.
15. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the South African courts. Both parties agree to attempt to resolve any dispute informally before initiating formal legal proceedings.
